Sales Conditions
1. Mission
The mission of Efluenz is to manage influencer marketing campaigns.Efluenz’s services are detailed in the order form of each contract concluded between Efluenz and its customers.
2. Scope of application
These general terms and conditions form an integral part of all contracts concluded between Efluenz and its customers, who therefore acknowledge that they have read them and accepted them without reservation.They take precedence over any other general conditions appearing on letters, vouchers or documents from customers, unless otherwise agreed in writing by Efluenz.During negotiations between the parties, the documents exchanged are not defined as contractual documents as such. The only act of engagement is therefore this contract, approved and signed by the contracting parties.
3. Contract period - termination - invoicing
Unless otherwise stipulated, this contract and the invoicing shall take effect from the moment of the Client's signature. In the event that the Customer wishes to cancel the subscription, it must notify Efluenz with one (1) months’ notice before the desired end date.
4. Communication
The address valid for mail, including registered mail, is the address given by the customer when signing the contract, as he did not inform Efluenz of any change of address. Efluenz’s address is Rue Royale 100, 1000 Brussels.
5. Responsibility
Efluenz cannot be held liable for any damage of any kind, whether material or immaterial (image and others) or physical, which may result from improper operation or use of the products used.Efluenz's liability shall, in any event, be limited to the amount of the order and shall not be held liable for simple errors or omissions that may have remained despite all the precautions taken in the presentation of the products. In the event of difficulties in the application of this contract, the customer and Efluenz reserve the right, before any legal action, to seek an amicable solution.
6. Payments and deadlines
All invoices issued by Efluenz under this contract shall be payable in euros (EUR) as follows: bank transfer to BE44 7360 5066 1245. In the event of non-payment and without any prior notice of default on the due date, a conventional interest rate of 1% per month will be due. In addition, by way of fixed compensation, an increase of 10% will also be due.
7. Confidentiality
The parties undertake to treat all information (such as, but not limited to, information obtained during the performance of the contract, the nature of the contract, the results and conclusions of the work) obtained from the other party, in confidence, and not to disclose anything to third parties, except with the prior written consent of the other party. However, Efluenz and its staff cannot be held responsible for the distribution of this information if it was already public, if Efluenz already had prior knowledge of this information; if it had been obtained regularly from other sources or if it was legally released.
8. Applicable law
These general terms and conditions of sale are subject to Belgian law.
