GENERAL TERMS AND CONDITIONS OF USE
1. Mission
Efluenz's mission is to manage influencer marketing campaigns. Efluenz's services are detailed in the purchase order of each contract concluded between Efluenz and its clients.
2. Scope of application
These general terms and conditions form an integral part of all contracts concluded between Efluenz and its clients, who acknowledge having read and accepted them without reservation. They take precedence over all other general terms and conditions appearing on clients' letters, orders or documents, unless Efluenz agrees otherwise in writing. During negotiations between the parties, exchanged documents are not defined as contractual documents as such. The only binding act is therefore this contract, approved and signed by the contracting parties.
3. Contract duration - termination – billing
Unless otherwise stipulated, this contract and billing shall take effect from the Client's signature. In the event that the Client wishes to terminate the subscription, they must notify Efluenz with one (1) month's notice prior to the desired end date.
4. Communication
The valid address for correspondence, including registered mail, is the address provided by the client at the time of signing the contract, as they have not informed Efluenz of any change of address. Efluenz's address is Rue Royale 100, 1000 Brussels.
5. Liability
Efluenz cannot be held responsible for any damage of any nature whatsoever, material or immaterial (image and others) or physical, that may result from malfunction or misuse of the products used. Efluenz's liability shall, in any event, be limited to the amount of the order and shall not be held responsible for simple errors or omissions that may have persisted despite all precautions taken in the presentation of products. In the event of difficulties in the application of this contract, the client and Efluenz reserve the right, before any legal action, to seek an amicable solution.
6. Payments and deadlines
All invoices issued by Efluenz under this contract shall be payable in euros (EUR) as follows: bank transfer to BE44 7360 5066 1245. In the event of non-payment and without prior formal notice at the due date, a conventional interest rate of 1% per month shall be due. In addition, as a fixed compensation, a surcharge of 10% shall also be due.
7. Confidentiality
The parties undertake to treat all information (such as, but not limited to, information obtained during the performance of the contract, the nature of the contract, the results and conclusions of the work) obtained from the other party in a confidential manner, and not to disclose anything to third parties, except with the prior written consent of the other party. However, Efluenz and its staff cannot be held responsible for the dissemination of such information if it was already public, if Efluenz had already been aware of this information beforehand; if it had been regularly obtained from other sources or if it had been legally released.
8. Applicable law
These general terms and conditions of sale are governed by Belgian law.
